END-USER LICENSE AGREEMENT ("EULA")

IMPORTANT – READ CAREFULLY

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and the connectiv! eSolutions GmbH, Kaiserstr. 24, 49809 Lingen (Ems), Germany ("CONNECTIV").

To use the SOFTWARE, you must obtain one or more LICENSE TOKEN(S). A LICENSE TOKEN is a key which
enables the SOFTWARE to work with one and only one licensed version of your target system ("TARGET").

By installing, copying or otherwise using the SOFTWARE, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, CONNECTIV is not willed to license the SOFTWARE to you. In such event, you may not use or copy the SOFTWARE, and you should promptly contact CONNECTIV for instructions on returning the SOFTWARE.

SOFTWARE LICENSE

The SOFTWARE is protected by copyright laws and international copyright treaties, as well as other intellectual
property laws and treaties. The SOFTWARE is licensed, not sold.

GRANT OF LICENSE

This EULA grants you the following rights:

Software Installation and Use.

RESTRICTIONS

You may not decompile, reverse engineer, disassemble or otherwise reduce this software to a human perceivable form.
You may not publicize or distribute any registration code algorithms, information, or registration codes used by this software without permission.
You may not use any registration codes for the Software that have not been purchased from CONNECTIV or an authorized representative of CONNECTIV.

TERMINATION

Without prejudice to any other rights, CONNECTIV may terminate your right to use the SOFTWARE under this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE and all of its components.

COPYRIGHT

The SOFTWARE is property of and copyright protected by CONNECTIV or their third offerers. Your license covers no requirements up or vested titles at the SOFWARE and represents no form of sales of rights at the SOFWARE.
With an injury of these license regulations, the third offerers of CONNECTIV can make use of their own rights.

All title and copyrights in and to the SOFTWARE (including but not limited to any images, photographs, animations, video, audio, music, text ,applets, etc. incorporated into the SOFTWARE), the accompanying printed materials, and any copies of the SOFTWARE, are owned by CONNECTIV. You may not copy the printed materials accompanying the SOFTWARE.
All rights not specifically granted under this EULA are reserved by CONNECTIV.

MAINTENANCE AND SUPPORT

CONNECTIV provides maintenance and/or technical support (including upgrades and enhancements) for the Licensed SOFWARE ONLY through separate Agreements. Please contact CONNECTIV or an authorized partner of CONNECTIV if you wish to obtain maintenance and/or technical support through the execution of such an agreement.

LIMITED WARRANTY

THIS SOFTWARE IS LICENSED "AS IS." CONNECTIV MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY OF FITNESS FOR A PARTICULAR PURPOSE, REGARDING THE SOFTWARE. CONNECTIV DOES NOT WARRANT, GUARANTEE OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE SOFTWARE IN TERMS OF ITS CORRECTNESS, ACCURACY, RELIABILITY, CURRENTNESS OR OTHERWISE. THE ENTIRE RISK AS TO RESULTS AND PERFORMANCE OF THE SOFTWARE, AND ITS INTERACTION WITH OTHER EQUIPMENT OR SOFTWARE OWNED OR USED BY YOU, IS ASSUMED BY YOU. SOME TERRITORIES DO NOT PERMIT THE EXCLUSION OF IMPLIED WARRANTIES. THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

THE SOFTWARE WAS DEVELOPED AND OFFERED FOR GENERAL PURPOSES AND NOT FOR SPECIAL PURPOSES OF A USER. YOU RECOGNIZE ON THAT NO SOFTWARE IS ERROR FREE, AND WE ADVISE YOU URGENTLY TO SECURE YOUR FILES REGULARLY.

IN NO EVENT CONNECTIV AND ITS DIRECTORS, OFFICERS OR AGENTS (COLLECTIVELY CONNECTIV) WILL BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INCIDENTAL OR INDIRECT DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, AND THE LIKE) ARISING OUT OF THE USE OR THE INABILITY TO USE THE SOFTWARE EVEN IF CONNECTIV HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL DAMAGES, THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

GOVERNING LAW

These license agreement is governed by the laws of the Federal Republic of Germany.
